PLEASE READ THESE TERMS CAREFULLY. By registering, accessing or using the Services — including by clicking an "I accept" check-box, clicking a "Sign up" button, accessing any sandbox or trial, or otherwise using the Services in any manner — you acknowledge that you have read, understood, and agree to be bound by these Terms and the documents referenced herein. If you do not agree to these Terms, you must not access or use the Services and you should exit the platform immediately.
1. Acceptance and binding agreement
These Terms form a legally binding agreement between you (whether acting on your own behalf as an individual, or on behalf of an entity you are authorised to represent — collectively "you", "your", or "Customer") and Mudrium.
If you are entering into these Terms on behalf of a company, bank, finance company, insurance company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that the entity has the legal capacity to enter into a binding contract under the laws of Nepal and the jurisdiction in which it is established. In such case, references to "you" or "Customer" in these Terms refer to that entity.
These Terms incorporate by reference the Privacy Policy, any applicable order form, master service agreement, statement of work, data processing addendum, security addendum, or service-level agreement executed between you and Mudrium (collectively, the "Agreement"). In the event of a conflict between these Terms and a separately executed agreement, the separately executed agreement shall prevail to the extent of the conflict.
2. Definitions
For the purposes of these Terms, capitalised terms have the meanings given below:
- "Account" means the account created by you to access the Services.
- "Authorised User" means an individual employee, contractor, agent or representative of the Customer who is permitted by the Customer to access and use the Services.
- "Customer Data" means any data, content, files, records, transactions, documents, signatures, images, reports, exports, communications, or other information that the Customer or its Authorised Users submit to, store in, generate in, or transmit through the Services.
- "Documentation" means the user manuals, API references, FAQs, and other materials made available by Mudrium describing the operation and use of the Services.
- "Intellectual Property Rights" means all rights, titles and interests in any patents, trademarks, service marks, trade names, domain names, copyrights, moral rights, database rights, design rights, know-how, trade secrets, and any other proprietary rights, whether registered or unregistered, anywhere in the world.
- "NRB" means Nepal Rastra Bank, the central bank of Nepal.
- "Order Form" means the document(s) executed between the Customer and Mudrium specifying the subscribed modules, number of Authorised Users, term, fees and other commercial terms.
- "Sandbox" means a non-production environment provided by Mudrium for evaluation, testing, training or pre-deployment configuration.
- "Tenant" means the cryptographically isolated logical environment provisioned for the Customer within the multi-tenant Services.
3. Eligibility
The Services are intended for use by:
- Individuals who are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts under applicable law; and
- Corporations, banks, finance companies, insurance companies, partnership firms, trusts, associations of persons, and other legal entities that are duly registered and authorised to enter into contracts under the laws of their jurisdiction.
The Services are not targeted at, nor intended for use by, anyone under the age of sixteen (16). Mudrium does not knowingly collect personal information from minors. If we learn that we have collected personal information from a child under sixteen without parental consent, we will delete it promptly.
The Services are primarily designed for and compliant with the laws of Nepal and are governed by Nepalese law. While the Services may be accessed from other jurisdictions, access from any jurisdiction in which use of the Services would be unlawful is strictly prohibited, and the Customer is solely responsible for ensuring compliance with the laws of the jurisdiction(s) in which it operates.
4. Account registration and security
4.1 Registration
To access the Services you must register for an Account and provide accurate, complete and current information including your legal name, designated email address, organisation name, industry, and any other information requested at sign-up. You agree to keep this information accurate and current at all times.
4.2 Acceptance check-box
At the time of registration you will be required to affirmatively indicate your acceptance of these Terms and the Privacy Policy by ticking a designated check-box. The check-box is a material condition of registration: registration cannot complete until the check-box is ticked. By ticking the check-box you confirm that you have read, understood and agreed to these Terms in their entirety.
4.3 Credentials and multi-factor authentication
You are solely responsible for safeguarding the credentials used to access your Account (including passwords, API keys, one-time passcodes, and any other authentication factor) and for all activities that occur under your Account. You agree to:
- Use a strong, unique password not used on any other service;
- Enable multi-factor authentication (MFA) where the Services make it available, and require MFA for all Authorised Users with privileged access;
- Notify Mudrium immediately at [email protected] of any unauthorised use of your Account or any other breach of security;
- Ensure that you log out from your Account at the end of each session, particularly when accessing the Services from a shared or public device.
Mudrium is not liable for any loss or damage arising from your failure to safeguard your credentials or comply with the security requirements set out above.
4.4 Authorised Users
The Customer is responsible for the acts and omissions of its Authorised Users as if they were the acts and omissions of the Customer itself. The Customer shall ensure that all Authorised Users comply with these Terms and shall be liable for any breach by an Authorised User.
5. Subscription plans and beta access
5.1 Subscribed modules
The Services are made available on a subscription basis. The specific modules, number of Authorised Users, transaction volumes, term, and fees are set out in the applicable Order Form. Access to any module is conditional upon payment of the applicable fees and remains subject to these Terms.
5.2 Live modules
As at the effective date of these Terms, the Banking module is available in general availability ("GA") and is offered for production use, subject to the commitments set out in any executed Order Form and the Service Levels in Section 13.
5.3 Beta, preview and "Coming Soon" modules
Modules other than Banking — including but not limited to Insurance, Fintech, Healthcare, Retail and Manufacturing — are marked as "Coming Soon", "Preview", "Beta", or with a similar designation. Such modules:
- Are not generally available and may be subject to substantial change, instability, or discontinuation;
- Are provided "as is", without any service-level commitment, support obligation, or warranty of any kind;
- Should not be used for production data, regulated workflows, or any purpose where availability, accuracy, or completeness is material;
- May be subject to additional terms presented at the time of enrolment in any preview or beta programme.
5.4 Sandbox and evaluation tenants
Mudrium may provide the Customer with access to a Sandbox or evaluation Tenant for a limited period (typically up to fourteen (14) days). Sandbox tenants are provided for the sole purpose of evaluation, configuration testing, training, and integration development. Data submitted to a Sandbox may be purged at any time at Mudrium's discretion and the Sandbox carries no availability or data-durability commitment.
6. Permitted use
Subject to the Customer's compliance with these Terms and timely payment of the applicable fees, Mudrium grants the Customer a non-exclusive, non-transferable, non-sublicensable, revocable, limited right during the subscription term to access and use the Services solely for the Customer's internal business purposes and in accordance with the Documentation.
7. Prohibited use
You shall not, and shall not permit any Authorised User or third party to:
- Use the Services in violation of any applicable law, regulation, or contractual obligation, including without limitation the laws of Nepal, NRB directives, RBI directives, data-protection laws, anti-money-laundering laws, or sanctions regimes;
- Use the Services to publish, store, transmit, or otherwise process any content that infringes the Intellectual Property Rights of any third party, including any copyrighted material, trademark, patent, trade secret, or proprietary information without the appropriate rights or licences;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Services, except to the extent expressly permitted by applicable law;
- Copy, modify, create derivative works of, distribute, sell, resell, sublicence, rent, lease, time-share, or otherwise commercially exploit the Services in any manner not expressly authorised by Mudrium;
- Use the Services to build a competing product or service, or to copy any feature, function, or graphic of the Services;
- Probe, scan, or test the vulnerability of the Services, breach security or authentication measures, or interfere with or disrupt the integrity or performance of the Services or the data contained therein, except as part of an authorised security review with Mudrium's prior written consent;
- Send or store malicious code, viruses, worms, Trojan horses, ransomware, or other harmful or destructive code or data;
- Transmit unsolicited communications, "spam", or other forms of duplicative or unsolicited messaging;
- Use the Services to harass, abuse, defame, threaten, or otherwise violate the legal rights of others;
- Misrepresent the source or identity of any data, communication, or transaction;
- Use any automated means — including scrapers, robots, or spiders — to access or use the Services in a manner not contemplated by the Documentation;
- Remove, alter, or obscure any copyright, trademark, watermark, or other proprietary notice on the Services or any output of the Services;
- Share Account credentials with anyone outside the Customer's authorised personnel.
Mudrium reserves the right (but is not obligated) to monitor the Services for compliance with these Terms and to take any action it deems appropriate in response to a suspected violation, including suspension or termination of the Account.
8. Customer Data and tenant isolation
8.1 Ownership
As between the Parties, the Customer retains all right, title, and interest in and to the Customer Data. Mudrium claims no ownership over Customer Data.
8.2 Licence to Mudrium
The Customer grants Mudrium a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, process, back up, and otherwise use the Customer Data solely as necessary to (i) provide and maintain the Services, (ii) prevent or address service or technical problems, (iii) comply with applicable law, lawful directives, or a valid court order, and (iv) provide support requested by the Customer.
8.3 Tenant isolation
Mudrium uses row-level multi-tenancy with cryptographically enforced tenant boundaries. Each Customer's Tenant is logically isolated from every other Customer's Tenant. Mudrium will not disclose, share, or mix the Customer Data of one Tenant with any other Tenant.
8.4 Backups and durability
Mudrium performs encrypted, automated backups of Customer Data at the frequency and retention described in the Documentation or any executed data processing addendum. Notwithstanding the foregoing, the Customer remains responsible for maintaining its own independent backup copies of any data the loss of which would be material to its business.
8.5 Customer responsibilities
The Customer is solely responsible for:
- The accuracy, quality, legality, integrity, and lawful basis for processing of all Customer Data;
- Obtaining any consents, authorisations, or notices required to lawfully transmit Customer Data to the Services, including but not limited to consents required from data subjects under applicable privacy law;
- Ensuring that Customer Data does not contain content that violates Section 7 (Prohibited use); and
- Configuring access controls, roles, permissions, and approval workflows within the Services in a manner consistent with the Customer's internal policies and applicable regulatory obligations.
9. Confidentiality
"Confidential Information" means any non-public information disclosed by one Party to the other in connection with the Services, whether disclosed orally, in writing, or by inspection, that is identified as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Confidential Information includes Customer Data, pricing, security practices, the Services' non-public features, and any source code.
The recipient of Confidential Information shall:
- Use such Confidential Information solely for the purpose of performing under these Terms;
- Protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information of like importance, and in no event with less than reasonable care;
- Disclose such Confidential Information only to those of its employees, contractors, and advisors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than those set out herein.
These obligations do not apply to information that (a) is or becomes generally known to the public without breach of these Terms by the recipient, (b) was known to the recipient prior to disclosure without an obligation of confidentiality, (c) is independently developed by the recipient without use of the disclosing party's Confidential Information, or (d) is required to be disclosed by law, regulation, or court order, provided that the recipient gives the disclosing Party prompt written notice (where lawful) to allow it to seek a protective order.
10. Intellectual property
Mudrium and its licensors retain all right, title, and interest in and to the Services, Documentation, software, source code, object code, user interfaces, designs, marks, trade names, logos, configurations, and all derivative works thereof, including all Intellectual Property Rights therein. Except for the limited rights expressly granted to the Customer under these Terms, no rights are granted to the Customer hereunder, whether by implication, estoppel, or otherwise.
The Customer may provide Mudrium with feedback, suggestions, or ideas regarding the Services ("Feedback"). The Customer grants Mudrium a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Services and any related products without any obligation or compensation to the Customer.
11. Privacy and cookies
Mudrium's collection, storage, use, transfer, and disclosure of personal data is governed by our Privacy Policy, which is hereby incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood the Privacy Policy.
The Services use cookies and similar tracking technologies as described in the Privacy Policy. You may control cookie settings through your browser, but disabling certain cookies may impair Service functionality.
12. Fees, billing and refunds
12.1 Fees
Fees for the Services are set out in the applicable Order Form and are payable in Nepalese Rupees (NPR), United States Dollars (USD), or such other currency as specified in the Order Form. Unless otherwise stated, all fees are exclusive of taxes and the Customer is responsible for all applicable VAT, GST, withholding tax, service tax, and any other government levy.
12.2 Invoicing and payment
Mudrium will invoice the Customer in advance for each billing period (typically monthly or annually as specified in the Order Form). All invoices are payable within thirty (30) days of the invoice date, unless otherwise specified.
12.3 Overdue payments
Overdue invoices will accrue interest at the lower of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the original due date until the date of full payment. Mudrium may suspend Services for accounts that are more than thirty (30) days overdue, following at least seven (7) days' written notice to the Customer.
12.4 Refunds
Except as expressly stated in these Terms or required by applicable law, all fees are non-refundable. No refund or credit will be issued for partially used subscription periods, unused Authorised User seats, or for termination by the Customer for convenience.
12.5 Top-up and recharge services
Where the Services include any third-party top-up, recharge, payment switch, or financial transaction enablement, Mudrium is not responsible for any delay, pricing change, transaction failure, or cancellation arising at the operator's or third-party processor's end. The Customer is solely responsible for the selection of the operator and the transaction amount. Mudrium is not responsible for any bonus, cashback, or promotional benefit offered by the operator.
13. Service levels (SLA)
For modules in general availability, Mudrium targets a monthly uptime of 99.9%, excluding (a) scheduled maintenance windows notified to the Customer at least forty-eight (48) hours in advance, (b) emergency maintenance required to address a security vulnerability, (c) downtime caused by the Customer or its Authorised Users, and (d) Force Majeure events as defined in Section 21. Detailed service-level commitments, credits, and exclusions may be set out in a separately executed Service Level Agreement.
14. Banking and NRB regulatory compliance
Where the Customer is a bank, finance company, micro-finance company, or other regulated financial institution operating in Nepal:
- The Customer acknowledges that it is, and shall remain, solely responsible for compliance with NRB Directive 6/080 (CSR) and all other NRB directives, circulars, unified directives, and applicable Nepal Rastra Bank requirements;
- Mudrium provides automation and reporting tools that support the Customer's compliance — for example, NRB-aligned CSR allocation matrices, quarterly Annexure-1 reports, and 10% per-province / 5% per-program / 60% spend-rate checks — but these tools do not transfer the Customer's regulatory obligations to Mudrium;
- The Customer remains the controller of, and accountable for, all submissions, filings, and reports made to NRB or any other regulator;
- The Customer shall be responsible for verifying the accuracy of any report, calculation, or output generated by the Services before submission to NRB or reliance for regulatory purposes.
15. Third-party services
The Services may integrate with, link to, or interoperate with third-party software, platforms, APIs, payment gateways, mobile network operators, identity providers, or other services ("Third-Party Services"). Such Third-Party Services are not part of the Services and are governed by their own terms. Mudrium does not warrant the availability, accuracy, security, or fitness for purpose of any Third-Party Service. Use of any Third-Party Service is at the Customer's sole risk.
16. Suspension and termination
16.1 Suspension by Mudrium
Mudrium may immediately suspend or restrict access to the Services, in whole or in part, if:
- The Customer's use poses an imminent security, integrity, or availability risk to the Services or to other Customers;
- The Customer is in material breach of these Terms or any Agreement;
- Fees are more than thirty (30) days past due;
- Mudrium is required to do so by law, regulation, or a binding order of a competent authority;
- The Customer is the subject of insolvency proceedings or has ceased to do business in the ordinary course.
16.2 Termination for convenience
Unless otherwise stated in the Order Form, the Customer may terminate any month-to-month subscription by giving Mudrium at least thirty (30) days' written notice prior to the end of the then-current billing period. Annual subscriptions may not be terminated for convenience prior to the end of the committed term except as set out in the Order Form.
16.3 Termination for cause
Either Party may terminate these Terms or any Order Form for cause if the other Party materially breaches any provision and fails to cure such breach within thirty (30) days of written notice describing the breach in reasonable detail. Material breaches include, without limitation, non-payment of fees, breach of confidentiality, infringement of intellectual property, or violation of Section 7 (Prohibited use).
17. Effect of termination
Upon expiry or termination of these Terms or the applicable Order Form for any reason:
- The Customer's right to access and use the Services shall immediately cease;
- All outstanding fees and charges, including those accrued but not yet invoiced, shall become immediately due and payable;
- For a period of thirty (30) days after termination (the "Export Window"), Mudrium will, on the Customer's written request, make Customer Data available for export in a commonly used machine-readable format. After the Export Window, Mudrium may permanently delete Customer Data, except as required to be retained by applicable law, regulation, or for legitimate dispute-resolution purposes;
- Any provision that by its nature should survive termination — including Sections 7, 8, 9, 10, 17, 18, 19, 20, 24, 25, and 27 — shall so survive.
18. Disclaimer of warranties
EXCEPT AS EXPRESSLY SET OUT IN A SEPARATELY EXECUTED AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUDRIUM DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR TITLE.
Without limiting the foregoing, Mudrium does not warrant that the Services will be uninterrupted, error-free, timely, secure, or that any defect will be corrected; that the Services will meet the Customer's specific requirements; or that data transmitted through the Services will be free from loss, corruption, attack, viruses, or other security intrusions.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUDRIUM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR ANY OTHER INTANGIBLE LOSS, WHETHER OR NOT MUDRIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
EXCEPT FOR LIABILITY ARISING FROM A PARTY'S WILFUL MISCONDUCT, FRAUD, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 20, EACH PARTY'S TOTAL CUMULATIVE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE AGGREGATE FEES PAID OR PAYABLE BY THE CUSTOMER TO MUDRIUM UNDER THE APPLICABLE ORDER FORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
20. Indemnification
The Customer shall defend, indemnify, and hold harmless Mudrium and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, suits, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) the Customer Data or its processing through the Services, (b) the Customer's breach of these Terms, (c) the Customer's violation of any applicable law or regulation, (d) the Customer's infringement of any third-party right, or (e) any act or omission of an Authorised User in connection with the Services.
Mudrium shall promptly notify the Customer of any claim subject to indemnification, give the Customer sole control of the defence and settlement (provided that no settlement that admits liability on behalf of Mudrium shall be entered into without Mudrium's prior written consent), and provide reasonable cooperation at the Customer's expense.
21. Force majeure
Neither Party shall be liable for any failure or delay in performance (other than payment obligations) caused by circumstances beyond its reasonable control, including without limitation acts of God, earthquakes, floods, fires, pandemics, civil unrest, war, acts of terrorism, government action, labour disputes, internet or telecommunications outages, denial-of-service attacks, or third-party service provider failures.
22. Modification of the Services and these Terms
Mudrium reserves the right, at its sole discretion, to modify, suspend, or discontinue any part of the Services at any time, with or without notice. Mudrium will use reasonable efforts to notify the Customer in advance of any material change that adversely affects the Services in a material respect.
Mudrium may amend these Terms from time to time. Amendments will become effective upon being posted on the Mudrium website or otherwise made available to the Customer. The Customer's continued use of the Services after the effective date of any amendment constitutes acceptance of the amended Terms. If the Customer does not agree to an amendment, the Customer must stop using the Services and may terminate its subscription in accordance with Section 16.2.
23. Notices
All notices to Mudrium under these Terms shall be in writing and sent to [email protected] with a copy to [email protected], or to such other address as Mudrium may designate in writing from time to time. Notices to the Customer shall be sent to the email address associated with the Customer's Account or to such other address as the Customer may designate in writing. Notices shall be deemed received (a) upon delivery if sent by hand, (b) one business day after dispatch by reputable overnight courier, or (c) upon confirmation of delivery if sent by email.
24. Governing law
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
25. Dispute resolution and jurisdiction
The Parties shall first attempt in good faith to resolve any dispute arising out of or in connection with these Terms by negotiation between senior representatives of each Party, commencing within fifteen (15) business days of written notice of the dispute.
Any dispute not resolved by negotiation within sixty (60) days shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal, and each Party irrevocably submits to such jurisdiction. Notwithstanding the foregoing, either Party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its Confidential Information or Intellectual Property Rights.
26. General provisions
Entire agreement. These Terms, together with the Privacy Policy, any executed Order Form, master service agreement, data processing addendum, security addendum, or service-level agreement, constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior or contemporaneous oral or written agreements, communications, and understandings.
Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Waiver. No waiver of any provision shall be effective unless in writing and signed by the Party granting the waiver. No failure or delay in exercising any right shall constitute a waiver of that right.
Assignment. The Customer may not assign these Terms or any rights hereunder without Mudrium's prior written consent. Mudrium may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets. Any attempted assignment in violation of this Section is void.
Relationship of the Parties. The Parties are independent contractors. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
No third-party beneficiaries. These Terms are for the sole benefit of the Parties and their permitted successors and assigns and are not intended to confer rights on any third party.
Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
27. Survival
The following Sections will survive termination or expiration of these Terms: 2 (Definitions), 7 (Prohibited use), 8 (Customer Data, with respect to deletion and export obligations), 9 (Confidentiality), 10 (Intellectual property), 12 (Fees, to the extent of accrued amounts), 17 (Effect of termination), 18 (Disclaimer of warranties), 19 (Limitation of liability), 20 (Indemnification), 23 (Notices), 24 (Governing law), 25 (Dispute resolution), 26 (General provisions), and 27 (Survival).
